UMAMI-JP.COM
These Terms of Use ("Terms") govern your use of online reservation services provided by KK UMAMI JP CO LTD
("Umami", “we”, “our”, “us”). Before using our service or our website, you are required to agree to these Terms. Please
read these Terms carefully. These Terms may be revised or amended by Umami from time to time in accordance with
Article 19. Please check the latest version of these Terms (the effective date and amended date of these Terms are shown in the
last page.).
Article 1. Definition
1. The “Service” means the services provided by Umami through Umami Website, which includes the services outlined in
Article 3.
2. “Umami Website” means the website operated by Umami for the Service (URL: UMAMI-JP.COM | Masterclass cooking
courses and cultural courses
3. “User”, “you” and “your” mean user of the Service whether or not you have completed User Registration.
4. “User Account” means a personal account issued by Umami for use of the Service after User Registration.
5. “User Registration” means registration as a User to be completed in accordance with Article 4.
6. “Food Experience” means meals such as breakfast, lunch, and dinner, cooking courses, and other food-related experiences shown in
Umami Website which can be reserved by using the Service.
7. “Cultural Experience” means meals such as artistic, cultural, and other related experiences shown in Umami Website which can be reserved by using the Service.
8. “Food and Beverage Charges” means charges for food and beverage which Users have ordered directly to the Hosts
without using the Service.
9. “Experience Fee” has the meaning outlined in Article 5.
10. “Service Commission” means consideration for the Service, which will not be refunded to Users when Users cancel the
reservation regardless of the reason for the cancellation as set forth in Article 6.
10. “Host” means a restaurant, hotel, person, group, or company that provides Food or Cultural Experiences to the User.
11. “Reservation” means a reservation for a Food Experience or Cultural Experience that can be made by using the Service.
Article 2. Scope of Application
1. These Terms shall apply to any and all actions taken by you in connection with the Service or Umami Website (whether or
not you have completed User Registration), and you are required to agree to these Terms before using the Service or
Umami Website.
2. In addition to these Terms on this page, other notices regarding the use of the Service that Umami may display on
Umami Website, including precaution notices about cancellation, shall form part of these Terms. In the event of any
discrepancy or inconsistency between such notices and these Terms, these Terms will prevail.
Article 3. The Service
As the Service, Umami will facilitate making reservations by Users for Food Experience or Cultural Experiences with Hosts and handle payment of the price for such Food or Cultural Experiences. All of the Servicse will be provided by Umami to Users through Umami Website.
Article 4. User Registration
1. Any person who intends to become a User of the Service shall agree to all provisions of these Terms and complete
the registration process on the Umami Website according to the procedures established by Umami.
2. If there is any change to the information registered by a User on the Umami Website, such User shall change the
registered information on the Umami Website.
3. Umami may refuse any User Registration at its sole discretion.
4. User shall not permit any third party to use, lease, assign, transfer, or pledge User Accounts to any third party.
Article 5. Confirmation of Reservation
If Umami has accepted an application from you through the Service for a Food or Cultural Experience, Umami shall notify you of the
details of your application via e-mail to the e-mail address registered by you or by posting them for you on the Umami Website.
Once the details of your application are notified to you and payment for the fee for the Food Experience (“Experience Fee”) is
made, your reservation for Food Experience will be made between you and the Host for which your application is accepted
(not between User and Umami), under the terms and conditions of the reservation, including the cancellation policy, that the
The host has registered for the Service shown for you in Umami Website.
Article 6. Payment for Food Experience
1. You shall pay Experience Fee by credit card or other method of payment designated by Umami in the Umami Website. No
Reservation shall be made without payment of the Experience Fee. You may only use a credit card in your own name.
You shall not use another person's credit card, enter false credit card information, or commit any other fraudulent act. If
you commit a fraudulent act, Umami may demand you compensate Umami for any loss or damage caused by your
fraudulent act.
2. If you cancel your reservation or change the number of attendance or menu in accordance with the procedures set out in
Article 8, Umami will refund all or part of the Experience Fee to the extent you are entitled in accordance with the
cancellation policy of the Host, provided, however, that we will not refund 3% of the Experience Fee as our Sales
Commission regardless of the reason for the cancellation or change.
3. Notwithstanding the preceding paragraph, if the cancellation of the reservation is due to the event of any of the reasons
caused by the Host, Umami will cancel the credit card sales for the Experience Fee or refund the Experience Fee.
4. In addition to the Experience Fee, the User shall pay Food and Beverage Charges directly to the Hosts.
Article 7. Information Provided upon Conclusion of Reservation Contract
Umami shall handle your personal information and other privacy information received from you at the time of your
Reservation in accordance with the privacy policy established by Umami (URL:https://www.umami-jp.com/privacy-
policy).
Article 8. Cancellation of Reservation
1. To cancel your Reservation, you shall follow the cancellation procedure designated by Umami.
2. If you cancel your Reservation in accordance with the preceding Paragraph or fail to arrive at the venue of the Food
Experience on the date and time agreed upon in your Reservation without following the cancellation procedures
according to the preceding Paragraph, including late arrival from the date and time agreed upon in your Reservation and
reduction in the number of people of your group from the number of people agreed upon in your Reservation, the Host
may collect a cancellation fee from you. Whether or not you incur a cancellation fee shall depend on the cancellation
policy of the Host. The Host will decide, in its sole discretion, whether or not to charge you a cancellation fee.
Article 9. Collection of Cancellation Fee
1. If the Host decides to charge you a cancellation fee in accordance with Host’s cancellation policy, Umami will collect
the cancellation fee from you on behalf of the Host by deducting such cancellation fee from our Sales Commission
from the amount to be refunded to you.
2. Aside from the collection of the cancellation fee set out in the provisions of the preceding Paragraph, Umami will
have no involvement in any problem that may arise between you and the Host regarding cancellation of your
Reservation and payment of the cancellation fee, including the terms of cancellation fees, the amount of the cancellation
fee, problems in the service provided by the Host, problems that occurred in the Host, and compensation for loss and
damage.
3. Notwithstanding the provisions of the preceding paragraphs, in the case of cancellation of the Reservation due to any
reason caused by the Host, the Experience Fee shall be fully refunded to the User. Please note that refunds are the
responsibility and expense of the Host, not Umami.
Article 10. Change of Reservation
1. If you wish to make changes to your Reservation after it has been made, you shall follow the procedures designated by
Umami and make the changes to your Reservation. You may only change the date, time, and number of people of your
group, and you may not change the course meal or Cultural Experience. Any arrangements between you and the Host regarding those changes shall be subject to the Host’s cancellation policy. Umami will have no involvement in any such arrangements.
2. If the change you make to your Reservation pursuant to the preceding Paragraph constitutes cancellation under
Host’s cancellation policy, the Host may regard such change as cancellation of all or part of your Reservation and
charge you a cancellation fee. In that case, the cancellation fee shall be subject to the provisions of Article 8
(Cancellation of Reservation) and Article 9 (Collection of Cancellation Fee).
Article 11. Non-Involvement of Umami
Any problems, troubles, or complaints arising from or in connection with (i) making, canceling, or changing your
Reservation, (ii)quality or content of Food or Cultural Experience or the food and beverage provided by the Host, or (iii) conduct or
behavior of the Host’s staff shall be resolved directly between you and the Host. Umami will have no responsibility and
involvement in such problems, troubles, and complaints.
Article 12. Precautions
1. You agree in advance that the availability and prices that the Host shows you on the Umami Website may be different
from the information provided elsewhere by the Host.
2. If the Host changes the menu prices and other terms and conditions that the Host employs on the Service, the changed
prices shall apply only to those who apply for a reservation after the change, and those who have already applied for a
reservation shall be subject to the prices shown at the time of applying for the reservation.
Article 13. Suspension, Change, Termination of the Service
1. Umami reserves the right to suspend, change, or terminate the Service, in whole or in part, by posting a notice on Umami
Website.
2. If Umami determines that the provision of the Service will be disrupted due to any of the following
circumstances, Umami may, without prior notice to you, take any necessary measures to restore the Service, such as
temporary suspension of the Service.
(1) An inspection, repair, or maintenance of servers, software, etc. is required for the Service;
(2) An accident or failure of computers, communication lines, etc. related to the Service has occurred; or
(3) Umami deems that there is a compelling reason.
3. Even if you or any third party suffers any loss, damage, or disadvantage as a result of the measures taken by Umami
according to the preceding two Paragraphs, Umami will not be liable for any such loss, damage, or disadvantage.
Article 14. Disclaimers
UMAMI EXPRESSLY DISCLAIMS ALL WARRANTIES IN RELATION TO (1) CONTENT OR QUALITY OF THE
FOOD, BEVERAGE, OR SERVICE ARE PROVIDED BY EACH HOST, (2) CONDUCT OR BEHAVIOR OF
HOST’S STAFF, OR (3) ACCURACY OF INFORMATION ABOUT EACH HOST SHOWN IN UMAMI WEBSITE.
Article 15. Prohibitions
1. In connection with the use of the Service or Umami Website, you are prohibited from doing any of the following acts:
(1) act that breaches these Terms;
(2) act that infringes or likely infringes proprietary or personal rights, including intellectual property rights, patent
rights, utility model rights, design rights, trademark rights, copyrights, and personality rights, of Umami or Host;
(3) act that causes or likely causes any disadvantage or damage to Umami, Host, or any third party;
(4) act that unlawfully damages or likely damages the honor, right, or credit of Umami, Host, or any other third party;
(5) act that breaches any rules including laws, regulations, and municipal ordinances;
(6) act that goes against or likely goes against the public policy, and acts that provide other Users or any third party with the
information that likely goes against public policy;
(7) criminal act, any act that leads to criminal acts, or act to instigate or likely instigate such acts;
(8) act to provide information which is false or likely false;
(9) act to prevent or likely prevent the Service from its normal operation, including unlawful access to Umami’s systems,
alteration of program codes during such unlawful access, willful falsification of location information, and spreading
any computer virus;
(10) act to cause or likely cause disturbance or interference to the Host’s normal operation of the business;
(11) act to use a macro program or any function or tool enabling automatic manipulation;
(12) act to pretend to be a third party and use the Service; or
(13) any other acts that Umami deems inappropriate.
2. If you are found to have committed any of the acts listed in the preceding Paragraph, Umami may take necessary
measures such as restricting your use of the Service without any notice. Umami will not be liable for any loss or
damage you may incur as a result of that measure.
Article 16 (Termination)
If any User falls under any of the following categories, Umami may unilaterally terminate any contractual relationship
and suspend the User’s User Account without any notice:
(a) if information registered by the User contains false information;
(b) if the User’s User Account has been canceled before;
(c) if a person including a User’s heir informs Umami of such User’s death or if Umami confirms such User’s death;
(d) if a minor uses the Service without the consent of the minor’s legal representative;
(e) if an adult ward, a person under curatorship, or a person under assistance uses the Service without the consent of
his or her adult guardian, curator, assistant, or any other equivalent;
(f) if a User does not respond to Umami’s request sincerely; and
(g) if Umami deems it inappropriate to continue the contractual relationship with the User.
Article 17 (Compensation for Damages)
1. Users shall compensate Umami for any damages arising from or in connection with any breach of these Terms or use
of the Service (including lost profits and attorneys’ fees).
2. If Umami causes damages to Users for a reason attributable to Umami in relation to the use of the Service or breach of
these Terms, Umami’s compensation for such damages will be limited to the amount in the following items:
(a) if the damages are caused by Umami’s willful misconduct or gross negligence: the total amount of such
damages; or
(b) if the damages are caused by Umami’s negligence other than gross negligence: within the scope of ordinary
damages which are caused actually and directly by such negligence (excluding special damages, lost profit,
indirect damages and attorneys’ fees) and with an upper limit of 10,000 yen.
3. Notwithstanding the immediately preceding paragraph, if the User is a corporation or an individual using the Service
as a business or for business purposes, Umami will not be liable for any damages incurred by such User in connection
with the Service, unless such damages are intentional or through gross negligence of Umami. Even in the event
Umami is liable for damages of such User, the maximum liability will be limited to the amount of Experience Fee for
a Reservation that has a direct relationship with such damage.
Article 18 (Notice and Communication)
Notice to each User from Umami shall become effective when sent by Umami to the email address which is registered by
each User following Article 4.
Article 16. Governing Law, Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan. Any lawsuit or dispute arising in
connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first
instance.
Article 17. Language
These Terms are made in English and any translation of these Terms is for reference purposes. If there is any conflict or
inconsistency between these two texts, the English text shall prevail.
Article 18 (Severability)
If any provision of these Terms is held invalid or illegal, in whole or in part, such invalidity or illegality shall in no way
affect the other provisions of these Terms or their interpretation and application, nor shall it impair or invalidate their
legality or validity.
Article 19. Revision and Renewal of these Terms
1. Umami may revise these Terms from time to time. Any such revised Terms shall become effective as of the effective date
determined at Umami's discretion.
2. In the case of the preceding Paragraph, Umami will notify you of the details of the revisions to these Terms and the
effective date of the revised Terms at least one month before the effective date of the revised Terms; provided,
however, if Umami determines that the disadvantage you may suffer as a result of such revisions is minimal,
Umami may shorten the notice period.
3. The provisions of the preceding Paragraph shall not apply if the revision of these Terms is consistent with your general
interest.
Established and effective as of 1 March 2025
